1. Acceptance of Terms

By accessing or using AfterHours Lead Reply (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, including individuals and organizations.

2. Description of Service

AfterHours Lead Reply is a SaaS application that connects to your email account (Gmail or Microsoft Outlook), monitors incoming emails outside your configured business hours, and automatically sends AI-generated replies to messages identified as new business leads. The Service also provides a dashboard for reviewing leads, configuring reply templates, and viewing activity.

3. Account Registration

  • You must provide accurate, current, and complete information when registering.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • One account per organization is permitted unless otherwise agreed in writing.

4. Email Account Authorization

By connecting a Gmail or Outlook account, you authorize AfterHours to:
  • Read incoming emails to classify whether they are new business leads.
  • Send email replies on your behalf to identified leads during after-hours periods.
You can revoke this authorization at any time from your dashboard or from your Google / Microsoft account security settings. Revocation will stop all automated activity immediately.

5. Acceptable Use

You agree not to use the Service to:
  • Send spam, unsolicited bulk email, or messages that violate anti-spam laws (CAN-SPAM, GDPR, CASL).
  • Impersonate any person or entity.
  • Violate any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service or its infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to send misleading, deceptive, or fraudulent communications.
We reserve the right to suspend or terminate accounts that violate these restrictions.

6. AI-Generated Content

The Service uses AI models to generate email replies. You acknowledge that:
  • AI-generated replies may contain inaccuracies or errors.
  • You are solely responsible for the content sent from your email account, including AI-generated replies.
  • You should configure reply templates to accurately represent your business and review the AI behavior periodically.

7. Intellectual Property

The Service, including its software, design, and content, is owned by AfterHours Lead Reply and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. You retain ownership of your data (email content, lead records, templates).

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or experience outages. We are not liable for any loss resulting from unavailability of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, ERROR-FREE, OR FREE OF VIRUSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFTERHOURS LEAD REPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AfterHours Lead Reply and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease. We will delete your data as described in our Privacy Policy. Sections 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the applicable jurisdiction without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.
